Welcome to Noel Merchandise Kenya! These Terms and Conditions outline the rules and regulations for the use of our branding and printing services. By accessing our website and placing an order, you agree to comply with these terms.

1. Definitions

  • “Client/Customer/You” refers to the person or business purchasing services from us.
  • “Products” refers to any branded merchandise, printed materials, or related items produced by us.

2. Service Overview

We offer custom branding, printing, and merchandise services for individuals, businesses, and organizations across Kenya. Our services include, but are not limited to:

  • Corporate Branding (e.g., business cards, signage)
  • Branded Merchandise (e.g., apparel, mugs, pens)
  • Promotional Items (e.g., banners, flyers, gifts)
  • Printing Services (e.g., posters, labels, stickers)

3. Order Placement

3.1 How to Place an Order:

Orders can be placed via:

Clients must provide accurate and complete information, including:

  • Design files (in acceptable formats: PNG, PDF, AI, EPS).
  • Specifications (e.g., size, color, material, quantity).
  • Delivery details (contact name, phone number, delivery address).

Errors in information provided by the client may result in delays, additional costs, or unsatisfactory results.

3.3 Minimum Order Quantities (MOQ):

Certain products may have minimum order requirements. These will be communicated during the quotation process.

4. Pricing & Payment

4.1 Pricing:

Prices for services and products are quoted in Kenyan Shillings (KES) and are subject to:

  • Order specifications (design complexity, materials, quantity)
  • Market fluctuations (e.g., raw material costs)

Quotations are valid for 14 days unless otherwise stated.

4.2 Payment Terms:

  • A 50% deposit is required before production begins.
  • The remaining balance (50%) is payable before delivery.

4.3 Accepted Payment Methods:

  • M-Pesa (Till Number/Paybill)
  • Bank Transfers
  • Credit/Debit Cards
  • Cash Payments (for walk-ins)

4.4 Late Payments:

Late payments may incur a 5% penalty fee per week. Failure to complete payment within 30 days after the due date may lead to order cancellation and/or legal action to recover the amount.

5. Production & Turnaround Times

5.1 Production Timeline:

Production timelines vary depending on order size and complexity. Average timelines:

  • Small orders: 3–5 business days
  • Medium orders: 5–7 business days
  • Large orders: 7–14 business days

5.2 Urgent Orders:

Urgent orders may attract a rush fee depending on priority and production workload.

5.3 Production Approval:

We provide design proofs for client approval before production starts. Delays in approval may extend production timelines.

6. Delivery & Shipping

6.1 Delivery Locations:

We offer nationwide delivery across Kenya. Delivery charges depend on:

  • Distance from Nairobi.
  • Order weight and volume.

6.2 Delivery Timelines:

Estimated delivery times are communicated before order confirmation. Delays due to courier services or unforeseen circumstances are beyond our control.

6.3 Risk of Loss:

Risk of loss passes to the customer upon delivery. Clients must inspect products immediately upon receipt and report any issues within 24 hours.

6.4 Failed Deliveries:

If delivery fails due to incorrect information provided by the client, a redelivery fee may apply.

7. Cancellation, Refunds & Returns

7.1 Order Cancellation:

  • Orders canceled before production starts: Eligible for a full refund minus transaction fees.
  • Orders canceled after production starts: No refund.

7.2 Returns Policy:

We accept returns only in the following cases:

  • Defective products (e.g., printing errors, damaged items).
  • Incorrect items delivered.

Return conditions:

  • Must be reported within 7 days of delivery.
  • Items must be unused and in original packaging.

7.3 Refunds:

Refunds are processed within 5–7 business days after approval.

8. Intellectual Property

8.1 Client's Intellectual Property:

We respect your intellectual property. Any logos, designs, or materials provided remain the client's property.

8.2 Use of Client Designs:

Unless specified, we may use samples of completed work for marketing and portfolio purposes.

8.3 Company Intellectual Property:

All content, designs, templates, and materials created by Noel Merchandise remain our intellectual property unless otherwise agreed in writing.

9. Warranty & Liability

9.1 Product Quality Guarantee:

We guarantee the quality of our branding materials. If a product has manufacturing defects, we will repair, replace, or refund the item, depending on the situation.

9.2 Limitations of Liability:

Noel Merchandise Kenya will not be held liable for:

  • Client-provided design errors.
  • Delays caused by third-party service providers.
  • Loss or damage after delivery.

9.3 Client Responsibility:

The client is responsible for reviewing and approving all designs and specifications. Errors in approved designs are not eligible for refunds.

10. Privacy & Data Protection

We are committed to protecting your personal information. Any data collected will:

  • Be used solely for order processing and communication.
  • Never be shared with third parties without consent.

11. Force Majeure

We shall not be liable for delays, damages, or non-performance due to events beyond our control, including but not limited to:

  • Natural disasters (e.g., floods, earthquakes).
  • Acts of government (e.g., lockdowns, regulations).

12. Dispute Resolution

In the event of a dispute, we encourage clients to:

  1. Contact us directly to resolve the issue amicably.
  2. If unresolved, disputes will be referred to mediation or arbitration in accordance with Kenyan law.
